1. Introduction
These Terms of Service ("Terms") govern your access to and use of the Diligent platform at app.diligent.sh, operated by Diligent AI Solutions Private Limited ("Diligent," "we," "us," or "our"). By creating an account or using the service, you agree to these Terms. If you don't agree, don't use the service.
2. What Diligent Does
Diligent is an AI performance marketing team. We connect to your advertising accounts (Meta Ads, Google Ads, and similar platforms as they're added), unify the data, and surface insights and recommendations. You can review our reasoning, accept or dismiss recommendations, and, where supported, authorize us to act on your behalf within defined guardrails.
3. Accounts and Eligibility
You must be at least 18 years old and authorized to bind the organization whose ad accounts you connect. You're responsible for:
- Keeping your login credentials confidential and notifying us promptly if you suspect unauthorized access
- The accuracy of the information you provide during sign-up and onboarding
- Activity that occurs under your account, including actions taken by team members you invite
4. Connecting Advertising Accounts
When you connect an ad platform, you authorize Diligent to access, read, and, where you opt in, modify your campaigns, ad sets, ads, budgets, and related settings through the platform's official API. You represent that you have the authority to grant this access. You can disconnect any account at any time from the Data Sources page; disconnection stops new syncs and any automated actions immediately.
5. AI-Generated Recommendations
Diligent uses machine learning and large language models to generate insights, recommendations, and reasoning about your advertising data. We show confidence levels and the data behind each recommendation so you can judge for yourself.
Recommendations are not guarantees. Ad performance depends on many factors outside our control: market conditions, platform algorithm changes, creative quality, seasonality, and more. You are responsible for reviewing recommendations before accepting them and for the outcomes of any actions taken through the service.
6. Your Data and Content
You retain ownership of the data you bring to Diligent, including campaign data synced from ad platforms, conversion events you upload, and any content you create within the service. You grant Diligent a limited license to process this data solely to provide and improve the service. We do not sell your data, and we do not train third-party AI models on your proprietary data. 7. Acceptable Use
You agree not to:
- Use the service for any unlawful purpose or in violation of any ad platform's own terms of service
- Attempt to reverse-engineer, scrape, or otherwise systematically extract data from the service beyond what our API expressly permits
- Interfere with or disrupt the service, bypass rate limits, or probe for vulnerabilities without our written permission
- Share your account credentials, sublicense access, or resell the service without a written agreement
- Upload malicious code, personal data you're not authorized to process, or content that infringes third-party rights
8. Intellectual Property
Diligent and its licensors own the service, including the software, the AI models we develop, the user interface, and the Diligent name and marks. These Terms don't grant you any rights in our intellectual property beyond the limited right to use the service as described. Feedback you send us may be used without restriction or obligation to you.
9. Fees, Taxes and Invoices
Paid plans and credit packs are charged in Indian Rupees at the price shown at the point of purchase. All prices are exclusive of 18% GST (SAC 998314). GST is added at checkout, and the amount debited is the displayed price plus GST.
An invoice is issued for every successful payment and is available on the Billing page in your account. We may change prices from time to time; a change applies from your next billing period, never to a period you have already paid for, and we will give you reasonable notice before it takes effect.
Payments are processed by our payment gateway. We do not receive or store your card, UPI or bank credentials.
10. Auto-Renewal and Your Payment Mandate
Paid plans renew automatically at the end of each billing period. When you subscribe, you choose how future renewals are collected and approve an auto-pay mandate on that method: UPI Autopay, or a recurring mandate on your card. The mandate authorises us to collect the renewal amount, up to a stated ceiling, on each renewal date. We never collect more than that ceiling without your approval.
As required by the Reserve Bank of India's e-mandate rules, you receive a pre-debit notification before every renewal debit, sent by our payment partner on our behalf. Where the renewal amount exceeds the regulatory threshold for automatic collection, the debit additionally requires your own authentication; we will ask you to approve it, and the renewal does not complete until you do.
You can cancel your plan at any time before the renewal date from the Billing page. You can also revoke the mandate directly with your bank: in your UPI app for a UPI Autopay mandate, or with your card issuer for a card mandate. 11. Changing Your Plan
Upgrading takes effect immediately: you are charged pro rata for the remainder of your current period, the additional credits are added straight away, and a new payment mandate replaces your previous one at the higher ceiling. Downgrades take effect at the end of the current period rather than immediately, so you keep the plan you have paid for until it lapses.
12. Non-Payment
If a renewal payment fails, your subscription is marked past due and you keep full access during a grace period of 15 days, while we retry the payment and while you can pay manually from the Billing page.
If it is still unpaid when that period ends, the subscription expires and your organisation moves to the Free plan. Your data is not deleted when this happens; access to paid features simply stops. We may suspend an account outright where an amount remains unpaid, and will tell you before we do.
13. Refunds and Cancellation
Cancellation and refunds are governed by our Refunds & Cancellation Policy, which forms part of these Terms. In summary: you can cancel at any time and keep access until the end of the period you have paid for; we do not refund the unused part of a period; credit packs are non-refundable once granted and never expire; and we refund duplicate charges and amounts taken for service that was never delivered.
14. Service Availability
We aim for high availability but don't guarantee uninterrupted service. We may perform maintenance, introduce changes, or deprecate features. Where a change materially reduces the service, we'll give reasonable advance notice. Downtime caused by upstream platforms (Meta, Google, cloud providers) is outside our control.
15. Termination
You can close your account at any time by contacting us.
We may terminate for material breach of these Terms on 30 days' written notice, giving you that period to put the breach right. Where your use puts us, other customers, or the service at risk, or where we are required to act immediately by law, we may suspend or terminate straight away. Non-payment is handled under section 12 rather than this section.
After termination you have 30 days to export your data before we delete it. Records we are required to keep (invoices and related tax documents) are retained for the period Indian tax and company law requires, as described in our Privacy Policy.
16. Disclaimers
The service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be error-free, that recommendations will produce specific results, or that integrated platforms will remain compatible.
17. Limitation of Liability
To the maximum extent permitted by law, Diligent will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or related to your use of the service. Our total liability for any claim under these Terms will not exceed the fees you paid us in the twelve months preceding the event giving rise to the claim, or ₹10,000, whichever is greater.
18. Indemnification
You'll defend and indemnify Diligent against third-party claims arising from your misuse of the service, your violation of these Terms, your violation of any ad platform's terms, or content you introduce to the service.
19. Changes to These Terms
We may update these Terms from time to time. We'll post the updated version on this page and update the "Last updated" date. For material changes, we'll give reasonable notice, typically 30 days, before the new Terms take effect. Continued use after the effective date constitutes acceptance.
20. Governing Law
These Terms are governed by the laws of India. Any dispute not resolved through good-faith discussion will be submitted to the exclusive jurisdiction of the courts of Gurugram, Haryana.
